State of Rhode Island Annual Report Filing
Recent changes within the State of Rhode Island will impact how an entity must file their annual report in order to maintain good standing with the state. The annual report filing, which is a streamlined one-page form, captures information and demographics about the entity.
The new legislation, which went into effect on January 1, 2022, amends the annual report filing period for business corporations, limited liability companies, and not-for-profits registered in Rhode Island. Prior to the new legislation, the filing periods had various dates based on entity structure. Not-for-profits would have had to submit between June 1 – June 30; limited liability companies between September 1 – November 1; and business corporations between January 1 and March 1.
As a result of the new legislation, effective January 1, 2022, all entities must now file their annual report with the Rhode Island Business Services Division between February 1 and May 1 of each calendar year.
