Case Study of a Service Line Revenue Merger

Our professionals have assisted several health systems to prepare to contractually merge distinct service lines (“Service Line Revenue Merger”).  The Service Line Revenue Merger helps promote greater collaboration between the two organizations in a manner that is narrowly tailored to take advantage of the specific areas of greatest opportunity, while allowing each organization to maintain its overall independence. 

Pursuant to the Service Line Revenue Merger, each organization’s financial performance is measured over a base period, and the two organizations agreed to share any incremental gains in financial performance generated by the service lines.  Our professionals helped determine the scope of the service line definitions, analyzed the organizational cost accounting output for each organization to ensure uniformity and consistency of reporting between the organizations, determined the appropriate financial metric to be utilized to measure the financial performance for the service lines, and developed a financial sharing methodology between the organizations for any incremental improvement in financial performance generated by the service lines.  Furthermore, our professionals drafted the comprehensive financial section in the resulting business plans for each service line, which were presented to, and approved by, the board of each organization.
